Design Partner Terms

What you get, what it costs and what happens to the fee, for the 8 design partner places.

1. Who this is between

These terms are between Agent Trust Cloud, registered at 7228 Wadebridge Drive, Canton, Michigan 48187, United States ("we", "us"), and the organization that buys a design partnership ("you"). They add to the terms of service, which govern your use of the platform; where the two differ about this purchase, these terms apply.

2. What you are buying

A design partnership for two quarters, which delivers:

  • Everything in the founding pilot, across your whole estate
  • Direct input on module sequencing, with your controls built first
  • Fortnightly working sessions with the people writing it
  • Each new module switched on for you the day it is released
  • Today’s list price locked for three years from purchase

3. Price and places

The fee is $60,000, paid once. There are 8 places in total, held only for a signed-in account: one hold per person and one per workspace at a time, and at most 3 purchases started per person in a week. Starting checkout holds a place for 60 minutes; an invoice holds one until it is due; a bank transfer that is clearing holds one for at most 10 days. No more than 3 places can be held at once by invoices and bank transfers that have not yet paid. A bank account used for a design partnership is verified instantly. A hold that lapses frees the place for somebody else. If a payment arrives after every place has gone, it is refunded in full and nothing is provisioned.

4. Paying

You pay through Stripe, either at checkout or against an invoice we email to the address on your account (one unpaid invoice at a time), due 15 days after it is sent. Bank transfer (ACH) is offered first and card beside it, as it is for any charge of $2,400 or more. Fees are exclusive of tax.

Nothing is provisioned until the payment has arrived. A bank transfer can take several days to clear; if your bank returns it, nothing is provisioned, or whatever was provisioned is reversed, the place it held is released, and we tell you how to pay by card instead.

If a payment is refunded, the credit it bought is taken back in proportion — from whichever of your workspaces it now sits in, even where that takes a balance below zero — and a full refund also ends the price lock and releases the place. While a payment is disputed its credit is held back; a dispute we win puts it back, and one we lose is treated as a full refund.

5. The credit

The full $60,000 becomes platform credit when the payment arrives, and is applied to your first subscription. It is held in your workspace's credit ledger, where every grant, use, transfer and expiry is a separate entry you can see, and Stripe applies it to your plan, seat, module and AI usage invoices until it is used up.

Credit does not pay for implementation services. Those are optional, sold separately and invoiced to their own billing account, so no credit is ever applied to them.

Credit expires 36 months after it is granted; whatever is left then lapses. Credit is a prepayment for the service, not money: it is not refundable or exchangeable for cash, except where the law requires otherwise.

You can move credit between workspaces that you own. Only an owner of both can do it, every move is recorded on both sides, and credit keeps its original expiry date when it moves.

6. Price lock

Today's list price for every plan and add-on sold on the pricing page is held for your workspace for three years from the payment. If a list price goes up in that time you pay the held price; if it goes down you pay the lower one.

7. Module sequencing

After the payment you can put the platform's modules in the order you want them built. We take that order into account when we plan releases; it is your input, not a promised date.

8. Accepting these terms

You accept these terms by ticking "I agree to the Design Partner Terms" before you pay or ask for an invoice; neither can start without it. We record the version you accepted (version 2026-10-01), when, and the account or billing email that accepted it, with the payment and in your workspace's audit trail.
